PrepPro Australia — Purchase Options, Subscriptions, Pre-Orders & Cancellation Policy

PrepPro Australia offers a range of purchase arrangements depending on the Product, including standard one-time purchases, recurring subscriptions and pre-orders.
This Policy explains how those purchase arrangements operate, how recurring payments are managed and when Orders, subscriptions or pre-orders may be modified or cancelled.
This Policy should be read together with PrepPro Australia's:
- Terms of Service;
- Returns, Refunds & Exchanges Policy;
- Privacy Policy; and
- any Product-specific or Order-specific terms disclosed before purchase.
1. General
1.1 Application
1.1.1 This Policy applies where PrepPro offers a Product through:
- a one-time purchase;
- a recurring subscription;
- a fixed-term subscription;
- a pre-order;
- a deposit or staged-payment arrangement; or
- another purchase option expressly stated to be governed by this Policy.
1.1.2 Not every purchase option is available for every Product.
1.1.3 The purchase options available for a particular Product will be displayed on the relevant Product page, at checkout, in an Order quotation or through another applicable sales process.
1.2 Australian Consumer Law
1.2.1 Nothing in this Policy excludes, restricts or modifies any consumer guarantee, statutory right, remedy or liability that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law (ACL) or any other applicable law.
1.2.2 Where a provision of this Policy is inconsistent with a right or remedy that cannot lawfully be excluded, that right or remedy prevails to the extent of the inconsistency.
2. Standard One-Time Purchases
2.1 One-Time Orders
2.1.1 Unless a Product is expressly identified as a subscription, pre-order or other recurring or deferred purchase arrangement, the purchase will be treated as a standard one-time Order.
2.1.2 A one-time Order does not create any ongoing payment obligation beyond amounts expressly associated with that Order.
2.2 Cancellation Before Fulfilment
2.2.1 Customers may contact PrepPro to request cancellation of an Order before fulfilment has commenced.
2.2.2 PrepPro may agree to such a cancellation where it can reasonably be accommodated.
2.2.3 PrepPro is not required to accept a cancellation solely because of a change of mind once:
- processing has materially commenced;
- stock has been allocated;
- procurement has commenced;
- a supplier commitment has been made;
- customisation has commenced;
- freight arrangements have been committed; or
- the Order has entered fulfilment.
2.2.4 Nothing in this clause affects a cancellation or refund right arising under applicable law.
2.3 Orders Already Dispatched
2.3.1 Once an Order has been dispatched, it generally cannot be cancelled as an unfulfilled Order.
2.3.2 Any return, refund or exchange request after dispatch will be dealt with under PrepPro's Returns, Refunds & Exchanges Policy and applicable law.
3. Subscriptions
3.1 Subscription Products
3.1.1 Certain Products may be offered on a recurring subscription basis.
3.1.2 A subscription may allow a customer to receive repeat deliveries at an agreed interval, such as:
- weekly;
- monthly;
- quarterly;
- another selected delivery interval; or
- another frequency expressly disclosed before subscription.
3.2 Subscription Information
3.2.1 Before entering into a subscription, PrepPro will make available the material terms relevant to that subscription, which may include:
- the Product being supplied;
- the amount payable;
- billing frequency;
- delivery frequency;
- whether the subscription is ongoing or fixed-term;
- whether automatic renewal applies;
- any minimum commitment that applies;
- how the subscription can be modified;
- how the subscription can be cancelled; and
- when cancellation will take effect.
3.2.2 Customers should review these details carefully before confirming a subscription.
4. Subscription Payments
4.1 Recurring Payment Authority
4.1.1 By entering into a recurring subscription, the customer authorises PrepPro and its payment service provider to charge the nominated payment method in accordance with the subscription terms disclosed at the time of purchase.
4.1.2 Charges may include:
- recurring Product charges;
- applicable delivery charges;
- taxes; and
- other amounts expressly disclosed as part of the subscription.
4.1.3 PrepPro will not use a subscription payment authority to charge unrelated purchases without separate authority.
4.2 Payment Information
4.2.1 Payment information may be securely processed or stored by PrepPro's authorised payment service providers.
4.2.2 PrepPro may use tokenised or otherwise securely processed payment credentials provided through those services to process recurring payments authorised under the subscription.
4.2.3 Personal and payment-related information will be handled in accordance with PrepPro's Privacy Policy and applicable law.
4.3 Failed Payments
4.3.1 If a scheduled subscription payment fails, PrepPro or its payment provider may make reasonable further attempts to process the authorised payment.
4.3.2 PrepPro may contact the customer and request updated payment information.
4.3.3 Where payment cannot be collected, PrepPro may:
- pause the affected subscription;
- delay the relevant shipment;
- suspend future fulfilment; or
- cancel the subscription.
4.3.4 PrepPro will not knowingly continue shipping subscription Products for which required payment has not been received unless another arrangement has been agreed.
5. Automatic Renewal
5.1 Ongoing Subscriptions
5.1.1 Where a subscription is described as ongoing, recurring or automatically renewing, it will continue in accordance with the disclosed billing cycle until cancelled or otherwise terminated in accordance with this Policy.
5.2 Fixed-Term Subscriptions
5.2.1 Where a subscription has a fixed term, the Product page or checkout process will state whether the subscription:
- automatically ends at completion of the term; or
- automatically renews for another term or converts to an ongoing arrangement.
5.2.2 PrepPro will not treat a fixed-term subscription as automatically renewable unless that renewal arrangement was reasonably disclosed before the customer entered into the subscription.
5.3 Renewal Charges
5.3.1 Where automatic renewal applies, the customer's nominated payment method may be charged at the commencement of the next billing or renewal period in accordance with the disclosed subscription terms.
5.3.2 Customers who do not wish an automatically renewing subscription to continue should cancel before the next applicable billing date or cancellation cut-off.
6. Cancelling a Subscription
6.1 Customer Cancellation
6.1.1 Unless a clearly disclosed minimum commitment lawfully applies, customers may cancel an ongoing subscription at any time.
6.1.2 Cancellation may be completed through any cancellation method made available by PrepPro, which may include:
- the subscription-management link supplied in Order or subscription emails;
- the customer's online account;
- another subscription-management facility; or
- contacting PrepPro customer support.
6.2 Effective Date of Cancellation
6.2.1 Cancellation generally applies to future billing and future subscription deliveries.
6.2.2 To prevent the next scheduled charge, a cancellation request must be received before the relevant subscription has entered billing or fulfilment for that cycle.
6.2.3 Where a cancellation request is received after:
- the next scheduled payment has been processed;
- stock has been allocated;
- an Order has entered fulfilment; or
- the relevant shipment has been dispatched,
the cancellation may take effect from the following subscription cycle.
6.2.4 The already processed shipment will then be treated as an existing Order and any return or refund rights will be determined under PrepPro's Returns, Refunds & Exchanges Policy and applicable law.
6.3 No Unreasonable Cancellation Barriers
6.3.1 PrepPro will not intentionally require a customer to continue an ongoing subscription merely because they no longer wish to receive future subscription deliveries, except where a clearly disclosed and legally enforceable minimum commitment applies.
6.3.2 Any minimum term, cancellation restriction or early-termination condition will only apply where it was adequately disclosed before the subscription was entered into and is otherwise permitted by law.
6.4 Confirmation
6.4.1 Where reasonably practicable, PrepPro or its subscription platform will provide confirmation when a subscription has been successfully cancelled.
6.4.2 Customers should retain cancellation confirmation for their records.
7. Modifying a Subscription
7.1 Customer Changes
7.1.1 Where supported by the relevant subscription, customers may be able to modify:
- delivery frequency;
- quantity;
- selected Products;
- delivery address;
- payment method;
- upcoming delivery date; or
- other subscription settings.
7.1.2 Changes generally apply to future subscription cycles and may not affect an Order that has already entered billing or fulfilment.
7.2 Product Availability
7.2.1 Subscription availability remains subject to Product availability.
7.2.2 If a subscription Product becomes temporarily unavailable, PrepPro may:
- delay the affected shipment;
- skip the affected delivery;
- pause the subscription;
- contact the customer regarding available options; or
- offer a reasonable alternative with the customer's agreement.
7.2.3 PrepPro will not knowingly charge a customer for a subscription Product that PrepPro does not intend to supply.
7.3 Material Substitutions
7.3.1 PrepPro will not materially substitute a subscription Product with a substantially different Product without the customer's agreement, except where the original Product arrangement expressly permits a reasonably equivalent substitution and doing so is lawful.
8. Subscription Price Changes
8.1 Future Price Adjustments
8.1.1 PrepPro may change the price of a subscription for future billing periods where reasonably necessary because of matters such as:
- supplier pricing;
- Product costs;
- freight;
- taxes;
- operating costs; or
- changes to the subscription offering.
8.1.2 A price change will not retrospectively alter an amount already paid.
8.2 Notice of Material Price Changes
8.2.1 Where PrepPro proposes a material increase to an ongoing subscription price, reasonable notice will be provided before the increased price is charged where required or appropriate.
8.2.2 The customer may cancel the subscription before the increased price takes effect, subject to any lawful and clearly disclosed fixed-term commitment.
9. Cancellation of a Subscription by PrepPro
9.1 PrepPro Cancellation
9.1.1 PrepPro may suspend or cancel a subscription where reasonably necessary because of:
- repeated payment failure;
- Product discontinuation;
- ongoing Product unavailability;
- suspected fraud;
- misuse of the subscription service;
- inability to lawfully continue supplying the Product;
- customer breach of applicable Terms; or
- another legitimate operational or legal reason.
9.1.2 PrepPro will not charge the customer for future subscription deliveries that will not be supplied.
10. Pre-Orders
10.1 Nature of a Pre-Order
10.1.1 A pre-order allows a customer to place an Order for a Product before it is ready for ordinary dispatch.
10.1.2 A pre-order Product may be:
- awaiting manufacture;
- in production;
- in international transit;
- awaiting importation;
- awaiting Australian stock arrival;
- awaiting release by the manufacturer;
- temporarily unavailable; or
- otherwise expected to become available at a later date.
10.2 Estimated Availability Dates
10.2.1 Unless expressly stated to be guaranteed, pre-order availability, release and dispatch dates are estimates only.
10.2.2 Estimated dates may change because of matters including:
- manufacturing delays;
- supplier delays;
- international freight;
- customs;
- quarantine or inspection;
- regulatory requirements;
- shipping disruptions;
- production changes; or
- circumstances outside PrepPro's reasonable control.
10.2.3 PrepPro will take reasonable steps to provide updated information where we become aware of a material delay affecting a pre-order.
11. Pre-Order Payments
11.1 Payment Arrangements
11.1.1 Depending on the Product, a pre-order may require:
- no payment at the time of Order;
- a deposit;
- partial payment; or
- full payment.
11.1.2 The applicable payment arrangement will be disclosed before the customer confirms the pre-order.
11.2 Outstanding Balance
11.2.1 Where only part of the purchase price is paid initially, the remaining amount may become payable:
- when the Product becomes available;
- before dispatch;
- on a disclosed scheduled date; or
- at another time expressly stated when the pre-order is placed.
11.2.2 By entering into a staged-payment pre-order, the customer authorises collection of the remaining amount in accordance with the payment arrangement disclosed when the Order is placed.
11.3 Failed Final Payment
11.3.1 If an outstanding pre-order balance cannot be collected, PrepPro may contact the customer and provide a reasonable opportunity to rectify payment.
11.3.2 If payment remains outstanding, PrepPro may cancel the pre-order where permitted by law and the applicable Order terms.
12. Cancelling a Pre-Order
12.1 Cancellation Before Procurement or Commitment
12.1.1 A customer may request cancellation of a pre-order before PrepPro has materially committed to fulfilment.
12.1.2 Where:
- no procurement has commenced;
- no manufacturing commitment has been made;
- no stock has been specifically allocated;
- no supplier commitment has been made; and
- no other material fulfilment cost has been incurred,
PrepPro may approve cancellation and refund amounts paid for the cancelled pre-order.
12.2 Cancellation After Procurement Has Commenced
12.2.1 Once PrepPro has materially committed to fulfilling a pre-order, a customer may not be entitled to cancel solely because of a change of mind.
12.2.2 A material commitment may include:
- placing a non-cancellable supplier Order;
- commencement of special procurement;
- manufacture specifically associated with the Order;
- allocation of stock specifically for the customer;
- commencement of customisation;
- international freight commitment; or
- another substantial commitment reasonably made in reliance on the pre-order.
12.2.3 Any restriction applying to customer cancellation will operate only to the extent permitted by law.
12.3 Deposits & Cancellation Costs
12.3.1 Where a pre-order requires a deposit, the relevant Product or Order terms should be reviewed before purchase.
12.3.2 PrepPro will not rely on a deposit or cancellation term to impose a penalty or retain an amount where doing so would be prohibited by law.
12.3.3 Where permitted by law and clearly disclosed, reasonable costs actually associated with a customer-requested cancellation may be taken into account.
13. Delay or Inability to Supply a Pre-Order
13.1 Delayed Products
13.1.1 A change to an estimated pre-order availability date does not automatically mean PrepPro has failed to supply the Product within the required period.
13.1.2 PrepPro will consider:
- any expressly agreed delivery date;
- the original estimate;
- the extent of the delay;
- the reason for the delay;
- representations made to the customer; and
- applicable law
when determining the customer's available options.
13.2 Significant Delays
13.2.1 If a pre-order becomes subject to a significant delay, PrepPro may provide the customer with options including:
- continuing to wait for the Product;
- accepting an alternative where agreed;
- cancelling the affected Product; or
- another appropriate solution.
13.3 Unable to Supply
13.3.1 If PrepPro cannot supply a Product that a customer has paid for, PrepPro will provide a remedy as required by applicable law.
13.3.2 This may include cancellation of the affected pre-order and refund of amounts paid for the Product where required.
13.4 No Acceptance of Payment Without Intention to Supply
13.4.1 PrepPro will not knowingly accept payment for a Product where, at the time payment is accepted, PrepPro knows that it will not be able to supply the Product within the represented or otherwise applicable period.
14. Pre-Order Price Changes
14.1 Accepted Pre-Order Price
14.1.1 Once PrepPro has accepted a pre-order at an agreed price, PrepPro will not unilaterally increase that agreed Product price merely because PrepPro's costs subsequently increase.
14.1.2 This does not prevent:
- agreed changes requested by the customer;
- agreed upgrades or variations;
- separately disclosed additional services; or
- another adjustment expressly agreed with the customer and permitted by law.
15. Pre-Orders After Dispatch
15.1 Fulfilled Pre-Orders
15.1.1 Once a pre-order has been dispatched, it becomes a fulfilled Product Order.
15.1.2 A request to return, replace or obtain a refund for the Product after dispatch will be dealt with under PrepPro's Returns, Refunds & Exchanges Policy and applicable law.
15.1.3 The fact that a Product was originally purchased as a pre-order does not remove any applicable consumer guarantee.
16. Bulk, Commercial, Wholesale & Humanitarian Pre-Orders
16.1 Large or Specially Procured Orders
16.1.1 Bulk, wholesale, commercial, humanitarian, international or specially procured pre-orders may involve substantial commitments including:
- supplier deposits;
- manufacturing;
- minimum order quantities;
- international freight;
- palletisation;
- stock allocation;
- customs arrangements;
- specialised packaging; or
- other logistics expenditure.
16.2 Cancellation
16.2.1 Once PrepPro has made material commitments in reliance on such an Order, cancellation for change-of-mind reasons may not be available.
16.2.2 Order-specific cancellation provisions may also be contained in:
- a quotation;
- purchase agreement;
- invoice;
- supply agreement; or
- other separately agreed commercial terms.
16.2.3 Nothing in this section excludes a right or remedy that cannot lawfully be excluded.
17. Try Before You Buy
17.1 No Try-Before-You-Buy Program
17.1.1 PrepPro does not currently offer a formal Try Before You Buy program unless expressly stated for a particular promotion or Product.
17.1.2 Customers should therefore assess available:
- Product descriptions;
- specifications;
- sizing information;
- compatibility information;
- photographs; and
- intended-use information
before purchasing.
17.2 Returns Remain Subject to Applicable Rights
17.2.1 The absence of a Try Before You Buy program does not affect any right a customer may have under:
- PrepPro's Returns, Refunds & Exchanges Policy;
- the Australian Consumer Law; or
- another applicable law.
17.2.2 In particular, nothing in this section means that a faulty, defective, misdescribed or otherwise non-compliant Product is excluded from an applicable statutory remedy.
18. Change of Mind
18.1 General Position
18.1.1 PrepPro does not generally provide a right to cancel, refund or return an Order merely because a customer:
- changes their mind;
- no longer wants the Product;
- orders the wrong Product or quantity;
- over-orders;
- finds an alternative Product;
- finds the Product cheaper elsewhere; or
- otherwise no longer requires the Product.
18.1.2 Any voluntary change-of-mind cancellation or return accepted by PrepPro is subject to the applicable Order terms and PrepPro's Returns, Refunds & Exchanges Policy.
18.2 Statutory Rights Unaffected
18.2.1 A change-of-mind restriction does not apply where the customer has an independent statutory or contractual right to:
- cancel;
- reject the Product;
- obtain a refund;
- obtain a replacement; or
- receive another remedy.
19. Refund Processing
19.1 Approved Refunds
19.1.1 Where a cancellation or refund is approved or required by law, PrepPro will process the refund using an appropriate payment method.
19.1.2 Where reasonably practicable, refunds will be made to the original payment method.
19.2 Processing Time
19.2.1 PrepPro will process approved refunds within a reasonable period.
19.2.2 The time taken for funds to appear in the customer's account after processing may depend on the customer's:
- bank;
- card issuer;
- payment platform; or
- financial institution.
20. Relationship with the Returns, Refunds & Exchanges Policy
20.1 Separate Functions
20.1.1 This Policy primarily governs:
- purchase arrangements;
- recurring subscriptions;
- subscription cancellation;
- pre-orders;
- pre-order cancellation; and
- associated billing arrangements.
20.1.2 PrepPro's Returns, Refunds & Exchanges Policy governs matters including:
- faulty Products;
- defective Products;
- incorrect Products;
- damaged Products;
- change-of-mind returns;
- inspections;
- Product assessment;
- return freight;
- hygiene-sensitive Products;
- supplier-direct Products; and
- applicable statutory remedies.
20.2 Inconsistency
20.2.1 Where this Policy and the Returns, Refunds & Exchanges Policy deal with different stages of a transaction, each will apply to its relevant subject matter.
20.2.2 Where a genuine inconsistency exists, the interpretation that preserves any applicable statutory consumer right will apply.
21. Changes to this Policy
21.1 Future Changes
21.1.1 PrepPro may update this Policy from time to time to reflect changes to:
- purchase options;
- subscription services;
- fulfilment arrangements;
- payment systems;
- Products;
- business practices; or
- applicable law.
21.1.2 Updated terms apply prospectively unless otherwise stated or required by law.
21.2 Existing Orders & Subscriptions
21.2.1 A change to this Policy will not retrospectively alter an accepted Order or subscription in a manner that unlawfully disadvantages the customer.
21.2.2 Material changes affecting an ongoing subscription will be communicated where required by law or reasonably necessary.
22. Australian Consumer Law Priority
22.1 Our goods come with guarantees that cannot be excluded under the Australian Consumer Law.
22.2 Nothing in:
- this Policy;
- a subscription arrangement;
- a pre-order term;
- a cancellation provision;
- a Product listing;
- PrepPro's Terms of Service;
- PrepPro's Returns, Refunds & Exchanges Policy; or
- another PrepPro communication
is intended to exclude, restrict or modify a consumer guarantee, statutory remedy or liability that cannot lawfully be excluded, restricted or modified.
22.3 Where a PrepPro term is inconsistent with a statutory right that cannot lawfully be excluded, the statutory right prevails to the extent of the inconsistency.
22.4 PrepPro's cancellation and purchase-option rules operate alongside statutory rights and not in substitution for them.
