PrepPro Australia — Terms of Service

These Terms of Service apply to the use of the PrepPro Australia website and to orders placed with PrepPro Australia.

PrepPro Australia operates under ABN 53 476 809 878.

For the purposes of these Terms, “PrepPro”, “PrepPro Australia”, “we”, “us” and “our” refer to PrepPro Australia, and “you”, “your”, “customer” and “purchaser” refer to the person or entity accessing the Site or purchasing Products from us.


1. General

1.1 Application of Terms

1.1.1 These Terms govern:

  • access to and use of the PrepPro Australia website;
  • purchases made through the Site;
  • orders accepted through quotations, invoices or other approved sales channels where these Terms are incorporated;
  • customer accounts;
  • delivery and fulfilment;
  • product use;
  • communications with PrepPro; and
  • other transactions expressly stated to be subject to these Terms.

1.1.2 By accessing or using the Site, creating an account, submitting an Order or purchasing Products from PrepPro, you agree to these Terms to the extent applicable to that activity.

1.1.3 If you do not agree with these Terms, you should not place an Order or continue using the Site.


1.2 Australian Consumer Law

1.2.1 Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or liability that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law (ACL) or any other applicable law.

1.2.2 Where any provision of these Terms is inconsistent with a right or remedy that cannot lawfully be excluded, that right or remedy prevails to the extent of the inconsistency.


1.3 Other PrepPro Policies

1.3.1 These Terms should be read together with any applicable PrepPro policies, including our:

  • Returns, Refunds & Exchanges Policy;
  • Privacy Policy;
  • Shipping or Delivery Policy;
  • product-specific safety notices;
  • age-verification requirements;
  • promotional or competition terms; and
  • Messaging Terms where applicable.

1.3.2 Where an Order is governed by a separately negotiated quotation, supply agreement or other written agreement, that document will prevail over these Terms to the extent of any inconsistency, subject always to rights that cannot lawfully be excluded.


1.4 Changes to These Terms

1.4.1 PrepPro may amend these Terms from time to time to reflect changes to:

  • our operations;
  • the Site;
  • Products or services;
  • fulfilment arrangements;
  • applicable laws or regulatory requirements; or
  • reasonable business practices.

1.4.2 Updated Terms will apply prospectively from the date they are published unless otherwise stated.

1.4.3 Where reasonably practicable, PrepPro may provide notice of material changes.

1.4.4 Unless required by law or agreed with the customer, changes made after an Order has been accepted will not retrospectively alter the contractual terms applying to that accepted Order.


2. Product Information, Preparedness & General Disclaimer

2.1 Nature of Products

2.1.1 PrepPro supplies preparedness, outdoor, survival, emergency, camping, storage, first-response and related Products sourced from Australian and international manufacturers, suppliers and distributors.

2.1.2 Some Products may require appropriate knowledge, training, maintenance, supervision or safe handling.


2.2 Preparedness Outcomes

2.2.1 Emergency and survival outcomes depend on many circumstances outside PrepPro's control.

2.2.2 No Product should be understood as guaranteeing:

  • survival;
  • rescue;
  • personal safety;
  • prevention of injury;
  • prevention of property loss;
  • protection from natural disasters;
  • successful emergency response; or
  • any particular outcome during an emergency or survival situation.

2.2.3 Preparedness Products are intended to assist with preparedness and should be used together with appropriate planning, skills, training, judgement and professional emergency assistance where required.


2.3 Product Descriptions

2.3.1 PrepPro takes reasonable steps to ensure Product descriptions, photographs, dimensions, specifications and other information are accurate.

2.3.2 Product photographs may contain:

  • props;
  • accessories;
  • packaging;
  • environmental elements; or
  • other items

that are not included unless expressly stated in the Product description.

2.3.3 Minor differences may occur between photographs and supplied Products because of:

  • manufacturing updates;
  • production batches;
  • display settings;
  • packaging revisions;
  • material availability; or
  • supplier changes.

2.3.4 Nothing in this clause permits PrepPro to supply Products that materially fail to correspond with their description or otherwise fail to comply with applicable consumer guarantees.


2.4 Manufacturer Information

2.4.1 Some specifications, instructions, test results, performance data and other Product information may be supplied by manufacturers or third-party suppliers.

2.4.2 PrepPro may reasonably rely on that information when publishing Product information.

2.4.3 If PrepPro becomes aware that material Product information is inaccurate, we will take reasonable steps to correct it.


2.5 No Professional Advice

2.5.1 General preparedness, survival, first-response or safety information published by PrepPro is provided for general informational purposes.

2.5.2 It is not a substitute for professional:

  • medical advice;
  • emergency services;
  • legal advice;
  • engineering advice;
  • fire-safety advice;
  • professional survival instruction; or
  • other appropriately qualified advice where required.

3. Age-Restricted, Edged & Regulated Products

3.1 General Legal Compliance

3.1.1 Certain Products may be subject to laws regulating:

  • age of purchase;
  • sale;
  • supply;
  • possession;
  • carriage;
  • storage;
  • transportation;
  • importation;
  • use; or
  • ownership.

3.1.2 Applicable laws vary between Australian States and Territories and may also vary internationally.

3.1.3 Customers must comply with laws applying to their possession, carriage, storage and use of a Product in their jurisdiction.

3.1.4 Nothing in this clause transfers to the customer any legal responsibility that applicable law places upon PrepPro as the seller or supplier.


3.2 Western Australian Edged Weapons

3.2.1 Certain knives, axes and other bladed or sharpened Products may fall within the definition of an edged weapon under the Weapons Act 1999 (WA).

3.2.2 PrepPro will not knowingly sell or supply an age-restricted edged weapon to a person under 18 years of age where doing so is prohibited by law.


3.3 Age Verification

3.3.1 Where a Product is designated by PrepPro as an 18+ or age-restricted Product, the purchaser must satisfy PrepPro's age-verification requirements before dispatch.

3.3.2 PrepPro may reasonably require valid government-issued photographic identification or an approved third-party age-verification process.

3.3.3 The name and other relevant information provided for verification must reasonably correspond with the purchaser or Order information.

3.3.4 PrepPro may refuse, suspend or cancel an Order where:

  • satisfactory age verification is not provided;
  • verification information appears false, altered or unreliable;
  • supply would reasonably appear to contravene applicable law; or
  • PrepPro reasonably considers further verification necessary.

3.3.5 Where an Order is cancelled by PrepPro solely because lawful age verification cannot be completed, any refund will be handled in accordance with applicable law and the circumstances of the Order.


3.4 Prohibited or Restricted Products

3.4.1 PrepPro does not intentionally offer a Product for sale or supply where PrepPro is prohibited by applicable law from selling or supplying that Product.

3.4.2 A Product available for purchase in one jurisdiction may be unavailable or restricted in another.

3.4.3 PrepPro may:

  • restrict delivery locations;
  • prevent checkout;
  • request additional information;
  • cancel an affected Product from an Order; or
  • refuse supply

where reasonably necessary to comply with applicable law.


3.5 Lawful Use

3.5.1 Products must not be purchased or used for an unlawful purpose.

3.5.2 The purchaser is responsible for determining whether their proposed possession, carriage or use of a regulated Product is lawful in their circumstances.

3.5.3 PrepPro does not represent that purchasing a Product automatically gives the purchaser a lawful excuse or authority to carry, possess or use that Product.


4. Intellectual Property

4.1 Ownership

4.1.1 Unless otherwise stated, intellectual property associated with the Site, including:

  • website design;
  • written content;
  • graphics;
  • photographs created for PrepPro;
  • videos;
  • product presentation material;
  • branding;
  • trade marks;
  • logos;
  • databases; and
  • original promotional material

is owned by, licensed to, or lawfully used by PrepPro.


4.2 Permitted Personal Use

4.2.1 You may access, download or print reasonable portions of Site content for personal and non-commercial purposes associated with:

  • viewing Products;
  • comparing Products;
  • placing Orders; or
  • retaining records of a purchase.

4.3 Prohibited Use

4.3.1 Except where permitted by law or with prior written permission, you must not:

  • materially reproduce PrepPro website content for commercial use;
  • republish PrepPro photographs or written content as your own;
  • use PrepPro branding in a manner suggesting authorisation, affiliation or endorsement where none exists;
  • remove copyright or proprietary notices;
  • reproduce a substantial part of PrepPro's Site or database;
  • frame the Site in a manner that misrepresents the source of its content; or
  • use PrepPro intellectual property in an unlawful or misleading manner.

4.4 Third-Party Intellectual Property

4.4.1 Manufacturer names, Product names, trade marks and third-party intellectual property remain the property of their respective owners.


4.5 Reviews & Submitted Content

4.5.1 If you voluntarily submit a Product review, photograph, testimonial or other content for publication, you grant PrepPro a non-exclusive, royalty-free licence to reproduce and display that content for legitimate business and promotional purposes.

4.5.2 You retain ownership of your original content.

4.5.3 You must not submit content that:

  • infringes another person's rights;
  • is knowingly false or misleading;
  • is unlawful;
  • contains malicious code; or
  • contains another person's private information without appropriate authority.

5. Privacy & Personal Information

5.1 Privacy Policy

5.1.1 Personal information collected through the Site or in connection with an Order will be handled in accordance with PrepPro's Privacy Policy and applicable privacy laws.


5.2 Information Provided by Customers

5.2.1 Customers must take reasonable steps to ensure information supplied to PrepPro is accurate and current, including:

  • name;
  • contact information;
  • delivery details;
  • billing details;
  • age-verification information where required; and
  • other information necessary to process an Order.

5.3 Verification

5.3.1 PrepPro may reasonably verify information supplied in connection with:

  • customer accounts;
  • transactions;
  • fraud prevention;
  • age-restricted Products;
  • delivery;
  • chargebacks;
  • regulatory requirements; or
  • other legitimate business purposes.

5.4 Service Providers

5.4.1 PrepPro may use third-party service providers for functions including:

  • payment processing;
  • website hosting;
  • ecommerce services;
  • fraud detection;
  • age verification;
  • delivery;
  • communications;
  • marketing where consent exists; and
  • customer support.

5.4.2 Handling of personal information in connection with those services will be subject to PrepPro's Privacy Policy and applicable law.


6. Accounts & Website Security

6.1 Customer Accounts

6.1.1 Where the Site permits customer accounts, you are responsible for maintaining the confidentiality and security of your login credentials.

6.1.2 You should notify PrepPro promptly if you reasonably believe your account has been accessed without authority.


6.2 Unauthorised Transactions

6.2.1 Nothing in these Terms makes a customer automatically liable for transactions resulting from fraud, unauthorised payment activity or circumstances for which the customer is not legally responsible.

6.2.2 PrepPro may investigate suspected unauthorised transactions and may request reasonable supporting information.


7. Acceptable Use of the Site

7.1 Prohibited Conduct

7.1.1 You must not intentionally use the Site to:

  • commit or facilitate an offence;
  • commit fraud;
  • impersonate another person;
  • submit false payment information;
  • unlawfully obtain another person's information;
  • distribute malware or malicious code;
  • interfere with Site security;
  • gain unauthorised access to systems or accounts;
  • materially disrupt operation of the Site;
  • scrape or harvest information in breach of applicable law;
  • infringe intellectual property rights; or
  • engage in conduct reasonably likely to harm the Site or other users.

7.2 Automated Access

7.2.1 PrepPro may restrict automated access, bots, scraping or similar activity where reasonably necessary to protect:

  • Site security;
  • customer information;
  • intellectual property;
  • system performance; or
  • legitimate business interests.

8. Website Availability & Cybersecurity

8.1 Site Availability

8.1.1 PrepPro does not guarantee uninterrupted access to the Site.

8.1.2 Access may occasionally be interrupted because of:

  • maintenance;
  • technical faults;
  • cyber incidents;
  • internet outages;
  • supplier outages;
  • hosting issues; or
  • circumstances outside PrepPro's reasonable control.

8.2 Malware & Security

8.2.1 PrepPro takes reasonable steps appropriate to its operations to maintain Site security.

8.2.2 No internet-based service can be represented as completely free from cybersecurity risk.

8.2.3 Users are responsible for maintaining reasonable security on their own devices and systems.

8.2.4 Nothing in this section excludes liability that cannot lawfully be excluded.


9. Placing an Order

9.1 Customer Offer

9.1.1 Submitting an Order constitutes an offer by the customer to purchase the selected Products on the terms disclosed at checkout and under these Terms.


9.2 Order Information

9.2.1 Before submitting an Order, customers should check:

  • Product selection;
  • quantity;
  • size or variation;
  • delivery address;
  • billing information;
  • delivery method;
  • age restrictions;
  • total price; and
  • any Product-specific information.

9.3 Order Acknowledgment

9.3.1 An automated email acknowledging receipt of an Order does not necessarily constitute acceptance of that Order.


9.4 Acceptance

9.4.1 An Order becomes binding when PrepPro accepts it.

9.4.2 Acceptance may occur through:

  • an express written order confirmation;
  • confirmation that fulfilment has commenced;
  • dispatch of the Product; or
  • another clear communication confirming acceptance.

9.5 Payment Before Acceptance

9.5.1 PrepPro or its payment processor may authorise or collect payment before final acceptance of an Order.

9.5.2 If PrepPro subsequently declines the Order, amounts collected for the declined Products will be refunded in accordance with applicable payment processing requirements.


10. Acceptance, Rejection & Fraud Prevention

10.1 Right to Decline an Order

10.1.1 Before acceptance, PrepPro may decline an Order where reasonably necessary, including because of:

  • Product unavailability;
  • suspected fraud;
  • pricing or listing error;
  • payment failure;
  • incorrect customer information;
  • inability to lawfully supply a Product;
  • age-verification failure;
  • delivery limitations; or
  • an apparent breach of these Terms.

10.2 Orders Already Accepted

10.2.1 Once an Order has been accepted, PrepPro will not cancel it arbitrarily.

10.2.2 PrepPro may cancel all or part of an accepted Order where fulfilment becomes impossible, unlawful or materially affected by circumstances such as:

  • unexpected Product discontinuation;
  • supplier failure;
  • stock discrepancy;
  • safety recall;
  • regulatory restriction;
  • genuine pricing error of which the customer knew or reasonably should have known;
  • fraud;
  • payment reversal; or
  • another material circumstance that reasonably prevents lawful fulfilment.

10.2.3 Where PrepPro cancels an accepted Order and the customer is entitled to repayment, PrepPro will refund the applicable amount.


11. Product Availability, Substitutions & Backorders

11.1 Availability

11.1.1 Product availability may change without notice before an Order is accepted.


11.2 Backorders

11.2.1 Where a Product becomes unavailable after an Order is placed, PrepPro may:

  • place the Product on backorder where appropriate;
  • offer an alternative;
  • offer partial fulfilment; or
  • cancel and refund the unavailable Product.

11.2.2 Customers will be informed where a material delay becomes known.


11.3 Kit Component Substitutions

11.3.1 Some multi-item kits may contain components supplied from multiple manufacturers.

11.3.2 Where the relevant Product listing expressly states that components may vary, PrepPro may substitute an unavailable component with an item that is reasonably comparable in:

  • intended function;
  • quality;
  • usefulness; and
  • value.

11.3.3 PrepPro will not knowingly make a substitution that materially changes the essential nature or advertised function of the Product without customer agreement.

11.3.4 Nothing in this clause affects rights arising where supplied goods materially fail to match their description.


12. Prices, GST, Payments & Additional Charges

12.1 Currency

12.1.1 Unless otherwise stated, prices displayed on the Australian Site are in Australian Dollars (AUD).


12.2 GST

12.2.1 Australian consumer prices displayed on the Site are inclusive of GST where required unless clearly stated otherwise.


12.3 Price Changes

12.3.1 PrepPro may change Product prices before an Order is placed.

12.3.2 Once an Order has been accepted, PrepPro will not increase the agreed Product price except where:

  • the customer requests a change;
  • an additional service or freight requirement is subsequently requested and agreed; or
  • another adjustment is permitted by law and expressly agreed.

12.4 Pricing Errors

12.4.1 If a genuine pricing error is discovered before acceptance, PrepPro may reject the affected Order and offer the customer the opportunity to purchase at the correct price.

12.4.2 Errors affecting an accepted Order will be addressed in accordance with applicable law and the particular circumstances.


12.5 Freight & Additional Charges

12.5.1 Additional freight charges may apply to:

  • heavy Products;
  • bulky Products;
  • remote destinations;
  • urgent or express deliveries;
  • international deliveries;
  • palletised freight; or
  • bulk commercial Orders.

12.5.2 Any additional amount payable by the customer will be disclosed or agreed before the customer becomes bound to pay it.


13. Customer Cancellation & Change of Mind

13.1 Change of Mind

13.1.1 PrepPro is not required to permit cancellation, return, refund or exchange merely because a customer:

  • changes their mind;
  • selects the wrong Product;
  • orders the wrong quantity;
  • finds a cheaper alternative;
  • no longer requires the Product; or
  • otherwise decides not to proceed for reasons unrelated to a statutory or contractual right.

13.2 Orders Not Yet Processed

13.2.1 A customer may contact PrepPro to request cancellation before fulfilment begins.

13.2.2 PrepPro may agree to such a request at its discretion where cancellation can reasonably be accommodated.


13.3 Bulk, Wholesale, Commercial & Humanitarian Orders

13.3.1 For bulk, wholesale, commercial, humanitarian, customised or specially procured Orders, cancellation may not be available once:

  • procurement has commenced;
  • manufacturing has commenced;
  • stock has been allocated;
  • freight commitments have been made;
  • customisation has commenced; or
  • fulfilment has otherwise materially commenced.

13.3.2 This clause applies only to cancellation for reasons that do not otherwise give rise to a legal or contractual right to cancel.

13.3.3 Nothing in this clause excludes rights that cannot lawfully be excluded.


14. Delivery, Title & Risk

14.1 Delivery Address

14.1.1 Customers must provide accurate and complete delivery information.

14.1.2 PrepPro is not responsible for additional costs or delays caused by incorrect information supplied by the customer to the extent those consequences were caused by that incorrect information.


14.2 Signature & Authority to Leave

14.2.1 Certain Orders may require a signature or other proof of delivery.

14.2.2 If the customer requests or authorises:

  • authority to leave;
  • redirection;
  • delivery to another person;
  • delivery to an alternative location; or
  • another variation after dispatch,

the delivery will be managed in accordance with that instruction, subject to applicable law and carrier requirements.

14.2.3 PrepPro may refuse authority-to-leave arrangements for age-restricted, high-value or otherwise unsuitable Products.


14.3 Risk

14.3.1 Unless different delivery terms are expressly agreed for a commercial or international Order, risk in Products passes to the customer when the Products are delivered to:

  • the nominated delivery address;
  • an authorised recipient; or
  • a location expressly authorised by the customer for delivery.

14.3.2 Where the customer changes or redirects delivery after dispatch, responsibility for consequences caused solely by that customer-directed change will be determined having regard to the circumstances and applicable law.


14.4 Title

14.4.1 Legal title to Products passes to the customer once PrepPro has received cleared payment for those Products, subject to applicable law.


14.5 Delivery Timeframes

14.5.1 Dispatch and delivery dates shown on the Site are estimates unless PrepPro expressly agrees to a guaranteed date in writing.

14.5.2 Delivery timeframes may be affected by:

  • carrier delays;
  • weather;
  • natural disasters;
  • remote-area access;
  • customs;
  • regulatory inspection;
  • supplier delays;
  • peak demand; or
  • other circumstances outside PrepPro's reasonable control.

14.5.3 PrepPro will not rely on estimated delivery wording to avoid a statutory obligation to supply Products within a required or reasonable time where applicable law provides such a right.


15. International Orders

15.1 Availability

15.1.1 PrepPro may supply Products internationally where international delivery is offered or separately agreed.


15.2 Destination Requirements

15.2.1 Customers ordering Products for overseas delivery are responsible for requirements properly applicable to them at the destination, including:

  • import permits;
  • customs requirements;
  • local possession restrictions;
  • local licensing;
  • taxes or duties not collected by PrepPro;
  • regulatory approvals; and
  • local-use restrictions.

15.2.2 This clause does not relieve PrepPro of any legal obligation that applies to PrepPro as exporter, seller or supplier.


15.3 Duties & Taxes

15.3.1 International duties, taxes and customs charges will be allocated as disclosed at checkout, in the relevant quotation or under expressly agreed delivery terms.


15.4 Customs Delays

15.4.1 PrepPro is not responsible for delays caused solely by foreign customs or regulatory authorities outside PrepPro's reasonable control, subject to any rights that cannot lawfully be excluded.


16. Returns, Refunds, Exchanges & Consumer Guarantees

16.1 Returns Policy

16.1.1 Returns, refunds, exchanges, defective Product claims, inspection requirements and return costs are governed by PrepPro's Returns, Refunds & Exchanges Policy, which forms part of these Terms.


16.2 Consumer Guarantees

16.2.1 Our goods come with guarantees that cannot be excluded under the Australian Consumer Law.

16.2.2 Nothing in these Terms or any PrepPro policy excludes, restricts or modifies those guarantees or any other right that cannot lawfully be excluded.


16.3 Major & Minor Failures

16.3.1 Remedies for Product failures will be determined in accordance with applicable law, including any rights relating to major and non-major failures.


16.4 Manufacturer Warranties

16.4.1 A manufacturer's warranty is additional to any applicable statutory consumer guarantees.

16.4.2 The expiry of a manufacturer's voluntary warranty does not, by itself, determine whether statutory consumer rights continue to apply.


17. Product Suitability, Installation & Use

17.1 Customer Selection

17.1.1 Customers should carefully review Product specifications and available information before ordering.


17.2 Disclosed Purpose

17.2.1 Nothing in these Terms excludes any applicable consumer guarantee concerning fitness for a disclosed purpose, including where a customer reasonably relies on PrepPro's skill, judgement, advice or representations.


17.3 Installation & Instructions

17.3.1 Products should be:

  • installed correctly;
  • used in accordance with supplied instructions;
  • maintained appropriately;
  • stored in suitable conditions; and
  • operated only for lawful and reasonably intended purposes.

17.4 Customer-Caused Damage

17.4.1 Subject to applicable law, PrepPro is not responsible for Product problems caused by circumstances arising after supply and unrelated to an inherent defect or consumer-guarantee failure, including:

  • misuse;
  • deliberate damage;
  • unauthorised modification;
  • negligent handling;
  • improper storage;
  • improper installation;
  • contamination after delivery;
  • use outside Product specifications; or
  • ordinary wear and tear consistent with the Product's nature, age and reasonable expected durability.

18. Food, Perishable & Consumable Products

18.1 Date Marking

18.1.1 Food and consumable Products must be used and stored in accordance with:

  • Product labelling;
  • applicable date markings;
  • manufacturer instructions; and
  • relevant storage requirements.

18.2 Use-By Dates

18.2.1 Food must not be consumed after a use-by date where the Product carries one.


18.3 Best-Before Dates

18.3.1 Where a Product carries a best-before date, customers should refer to the Product label and applicable food-safety guidance concerning quality and storage.


18.4 Remaining Shelf Life

18.4.1 Imported and long-life Products may have already spent part of their original manufacturing shelf life in:

  • international transport;
  • customs processing;
  • quarantine or inspection;
  • warehousing; or
  • domestic distribution.

18.4.2 Where PrepPro expressly represents a remaining shelf life, expiry date, use-by date or best-before date for a particular Product, that representation forms part of the Product information applicable to the purchase.

18.4.3 Where PrepPro sells Products with materially reduced remaining shelf life, relevant information will be disclosed where required by law or where necessary to avoid misleading customers.


18.5 Allergens

18.5.1 Customers with allergies, intolerances or dietary restrictions should review the Product label and allergen information before consumption.

18.5.2 Customers should not rely solely on general website imagery where the physical Product label provides current ingredient or allergen information.

18.5.3 Nothing in this section relieves PrepPro of any applicable food-labelling or consumer-law obligation.


19. Warranties & Liability

19.1 Statutory Rights Preserved

19.1.1 Nothing in these Terms excludes, restricts or modifies:

  • Australian Consumer Law rights that cannot lawfully be excluded;
  • liability for fraud;
  • liability for wilful misconduct; or
  • any other liability that applicable law prohibits PrepPro from excluding.

19.2 No Guarantee of Emergency Outcome

19.2.1 Subject to clause 19.1, PrepPro does not guarantee that possession or use of a preparedness Product will prevent:

  • injury;
  • property damage;
  • emergency;
  • loss;
  • exposure;
  • illness; or
  • death.

19.3 Loss Outside PrepPro's Responsibility

19.3.1 To the maximum extent permitted by law, PrepPro is not liable for loss to the extent that the loss was caused by:

  • unlawful Product use;
  • misuse;
  • deliberate damage;
  • failure to follow Product instructions;
  • unauthorised modification;
  • circumstances occurring after delivery for which PrepPro is not legally responsible; or
  • the customer's own act or omission.

19.4 Contributory Conduct

19.4.1 Where PrepPro and the customer each contribute to loss or damage, responsibility will be determined according to applicable law and the extent of each party's responsibility.


19.5 Commercial & Consequential Loss

19.5.1 To the extent permitted by law, PrepPro is not liable for remote or indirect commercial loss that:

  • was not reasonably foreseeable;
  • was not caused by PrepPro's breach, negligence or other legally actionable conduct; and
  • is not otherwise recoverable under applicable law.

19.5.2 Nothing in this provision removes any right to compensation available under the Australian Consumer Law or other applicable law.


20. Indemnity

20.1 Customer Responsibility

20.1.1 To the extent permitted by law, you indemnify PrepPro against reasonable loss, liability or expense arising directly from:

  • your unlawful use of the Site;
  • your unlawful use of a Product;
  • fraud committed by you;
  • your intentional infringement of a third party's intellectual property rights; or
  • your material breach of these Terms,

but only to the extent that the relevant loss was caused by your conduct.

20.1.2 This indemnity does not apply to the extent that loss was caused or contributed to by:

  • PrepPro's negligence;
  • PrepPro's breach of contract;
  • PrepPro's breach of statutory duty; or
  • another matter for which PrepPro is legally responsible.

21. Electronic Communications, Email & SMS

21.1 Transactional Communications

21.1.1 By placing an Order, you agree that PrepPro may send communications reasonably necessary to administer the transaction, including:

  • order confirmations;
  • payment information;
  • delivery updates;
  • age-verification requests;
  • safety notices;
  • recall information;
  • customer-service communications; and
  • other non-marketing service messages.

21.2 Marketing Consent

21.2.1 Placing an Order does not by itself constitute consent to receive marketing communications where separate consent is required by law.

21.2.2 PrepPro may send marketing email or SMS messages where appropriate consent has been obtained or another lawful basis exists.

21.2.3 Consent to receive marketing is not a condition of purchasing ordinary Products from PrepPro.


21.3 SMS Marketing

21.3.1 Where you expressly opt in to PrepPro SMS marketing, you may receive recurring messages concerning:

  • promotional offers;
  • Product information;
  • abandoned checkout reminders;
  • campaigns;
  • customer engagement; and
  • other marketing communications described when you opt in.

21.3.2 Message frequency may vary.

21.3.3 Standard mobile carrier message or data charges may apply.


21.4 Unsubscribing

21.4.1 Commercial electronic messages sent by PrepPro will provide an unsubscribe mechanism where required by law.

21.4.2 Customers may unsubscribe using the method provided in the message, including replying STOP where supported.

21.4.3 Valid unsubscribe requests will be actioned within the period required by applicable law.

21.4.4 Unsubscribing from marketing does not prevent PrepPro from sending genuinely necessary non-marketing communications concerning an existing Order, safety matter or other transaction.


21.5 Messaging Service Terms

21.5.1 Where a customer opts into a third-party messaging service used by PrepPro, additional Messaging Terms and Messaging Privacy terms presented during the opt-in process may also apply.

21.5.2 Current messaging terms may be made available through PrepPro's messaging provider at:

21.5.3 If those messaging terms conflict with a mandatory requirement of Australian law, the mandatory Australian legal requirement prevails to the extent of the inconsistency.


22. Promotions, Giveaways & Competitions

22.1 Separate Promotion Terms

22.1.1 Promotions, giveaways and competitions may be subject to separate terms and eligibility requirements.

22.1.2 Where separate promotional terms are provided, those terms apply to the relevant promotion in addition to these Terms.

23.1.1 The Site may contain links to third-party websites or services.

23.1.2 Unless expressly stated otherwise, providing a link does not mean PrepPro controls or endorses all content on the third-party service.

23.1.3 Third-party websites may operate under their own terms and privacy policies.


24. Events Outside Reasonable Control

24.1 Delays or Disruption

24.1.1 PrepPro is not responsible for delay or failure to perform an obligation to the extent caused by events genuinely outside its reasonable control, including:

  • natural disasters;
  • bushfires;
  • floods;
  • severe weather;
  • war;
  • civil disturbance;
  • government restrictions;
  • border closures;
  • customs action;
  • widespread carrier disruption;
  • infrastructure failure;
  • major cyber incidents;
  • industrial action not reasonably preventable by PrepPro; or
  • significant supplier disruption.

24.2 Customer Rights

24.2.1 PrepPro will take reasonable steps to minimise the effects of such events.

24.2.2 Nothing in this clause removes any right the customer may have to cancel, obtain a refund or exercise another remedy where required by applicable law or the relevant contract.


25. Suspension or Termination of Site Access

25.1 PrepPro's Rights

25.1.1 PrepPro may suspend or restrict a user's Site access where reasonably necessary because of:

  • fraud;
  • attempted cyberattack;
  • repeated unlawful conduct;
  • serious breach of these Terms;
  • abuse of Site systems; or
  • another legitimate security or legal reason.

25.1.2 Suspension of Site access does not remove rights or obligations relating to an existing accepted Order unless otherwise permitted by law.


26. Governing Law & Disputes

26.1 Governing Law

26.1.1 These Terms are governed by the laws applicable in Western Australia, Australia, subject to any mandatory laws that apply to the customer or transaction.


26.2 Jurisdiction

26.2.1 Subject to applicable law, the parties submit to the non-exclusive jurisdiction of courts and tribunals having jurisdiction in Western Australia.

26.2.2 Nothing in this clause prevents a customer from exercising a statutory right to commence or participate in proceedings in another court, tribunal or jurisdiction where applicable law permits or requires it.


26.3 Resolving Concerns

26.3.1 Customers are encouraged to contact PrepPro first where they have a concern about an Order so that PrepPro has a reasonable opportunity to investigate and attempt to resolve the matter.

26.3.2 Nothing in this clause prevents a customer from contacting a regulator, consumer protection body, court, tribunal or other authority.


27. General Contract Provisions

27.1 Severability

27.1.1 If any provision of these Terms is invalid, unlawful or unenforceable, that provision will apply only to the maximum extent permitted by law.

27.1.2 Where possible, the remaining Terms will continue to operate.


27.2 No Waiver

27.2.1 A failure or delay by PrepPro to exercise a contractual right does not automatically waive that right.


27.3 Entire Agreement

27.3.1 Subject to applicable law and any separately negotiated written agreement, these Terms together with:

  • the accepted Order;
  • applicable Product information;
  • PrepPro's Returns, Refunds & Exchanges Policy;
  • the Privacy Policy; and
  • any other policy expressly incorporated into the transaction

form the agreement between PrepPro and the customer concerning the relevant purchase.


27.4 Order-Specific Terms

27.4.1 Where PrepPro and a customer expressly agree in writing to different terms for a particular bulk, commercial, wholesale, humanitarian or international Order, those agreed terms prevail for that Order to the extent of any inconsistency.

27.4.2 No order-specific term may exclude or restrict a statutory right where doing so is prohibited by law.

28.2 Interpretation

28.2.1 Headings are provided for convenience and do not limit the meaning of these Terms.

28.2.2 References to legislation include amendments, replacements and subordinate legislation where applicable.

28.2.3 Words such as “including” and “includes” are not words of limitation.

28.2.4 A reference to a right being subject to applicable law means that the clause operates only to the extent the relevant right, restriction or obligation may lawfully apply.


29. Australian Consumer Law Priority

29.1 Nothing in these Terms, any Product listing, PrepPro policy, manufacturer warranty, invoice, quotation, disclaimer or communication is intended to exclude, restrict or modify any consumer guarantee, statutory remedy or liability that cannot lawfully be excluded, restricted or modified.

29.2 If anything in these Terms is inconsistent with such a statutory right, the statutory right prevails to the extent of the inconsistency.

29.3 PrepPro's contractual policies operate alongside applicable statutory rights and not in substitution for them.
