PrepPro Australia — Pre-Order Policy

This Pre-Order Policy applies to Products expressly offered for pre-order by PrepPro Australia.

This Policy sets out the specific terms applying to pre-order Products, including payment, pricing, estimated availability, cancellation, Order changes, delays, fulfilment and the PrepPro extended-delay goodwill program.

This Policy should be read together with PrepPro Australia's:

  • Terms of Service;
  • Purchase Options, Subscriptions, Pre-Orders & Cancellation Policy;
  • Shipping & Delivery Policy;
  • Returns, Refunds & Exchanges Policy; and
  • Privacy Policy.

Where this Policy contains a provision specifically dealing with a PrepPro pre-order, that specific provision will apply to the pre-order together with the broader PrepPro policies.

Nothing in this Policy excludes, restricts or modifies any consumer guarantee, statutory right, remedy or liability that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law (ACL) or any other applicable law.


1. General

1.1 Application

1.1.1 This Policy applies where a Product is expressly identified as a pre-order Product before purchase.

1.1.2 A Product is not treated as a pre-order merely because:

  • ordinary dispatch takes several days;
  • the Product is temporarily awaiting warehouse processing;
  • the Product is supplier-direct;
  • the Product is made available through a normal backorder process; or
  • delivery itself takes an extended period,

unless the Product or Order is expressly identified as a pre-order.


1.2 Agreement

1.2.1 Where this Policy is incorporated into a pre-order before purchase, placing the pre-order constitutes acceptance of the applicable pre-order terms.

1.2.2 Customers should review:

  • the Product description;
  • estimated timeframe;
  • Product specifications;
  • price;
  • delivery arrangements;
  • cancellation terms; and
  • any Product-specific conditions

before submitting a pre-order.


2. What Is a Pre-Order?

2.1 Definition

2.1.1 A pre-order is an Order for a Product that is not available for immediate ordinary dispatch at the time the Order is placed but is expected to become available for fulfilment at a later date.


2.2 Sources of Pre-Order Stock

2.2.1 Pre-order Products may include Products that are:

  • being manufactured;
  • scheduled for manufacture;
  • procured from a manufacturer or supplier;
  • allocated from a future production run;
  • already ordered by PrepPro;
  • in international transit;
  • undergoing importation or customs processing;
  • awaiting delivery to PrepPro;
  • awaiting release by a manufacturer; or
  • otherwise expected to become available at a later date.

2.3 Allocation

2.3.1 Once a pre-order is accepted, PrepPro may reserve, procure or allocate inventory against the confirmed customer Order.

2.3.2 Depending on the Product and stage of procurement, that allocation may involve commitments to:

  • manufacturers;
  • suppliers;
  • distributors;
  • freight providers;
  • import arrangements; or
  • other fulfilment providers.

3. Payment Terms

3.1 Full Payment

3.1.1 Unless a particular pre-order Product expressly states otherwise, full payment is required when a PrepPro pre-order is placed.

3.1.2 The pre-order will not ordinarily be confirmed until payment has been successfully processed.


3.2 Alternative Arrangements

3.2.1 If PrepPro expressly offers a deposit, staged-payment or other payment arrangement for a particular pre-order, the payment terms disclosed for that Product or Order will apply.

3.2.2 The availability of an alternative payment arrangement for one Product does not require PrepPro to offer that arrangement for other pre-orders.


3.3 Payment Does Not Mean Immediate Dispatch

3.3.1 Customers acknowledge that payment for a pre-order secures an Order for future fulfilment and does not mean the Product is available for immediate dispatch.


4. Pre-Order Pricing & Discount

4.1 Eligible Pre-Order Discount

4.1.1 Designated eligible pre-order Products may be offered at a 10% pre-order discount compared with the applicable standard retail price identified for that Product.

4.1.2 The 10% pre-order discount applies only where the relevant Product page, quotation or offer expressly states that the Product is eligible.


4.2 Conditions of Discount

4.2.1 Unless expressly stated otherwise, a pre-order discount:

  • applies only to the designated Product;
  • cannot be combined with another discount or promotional code;
  • cannot be applied retrospectively to an existing Order;
  • does not apply to shipping charges;
  • does not apply to gift cards; and
  • does not entitle the customer to a further discount if the Product is subsequently promoted at another price.

4.3 Comparison Price

4.3.1 Any price comparison or percentage discount displayed by PrepPro will be based on the applicable price represented for that Product at the relevant time.

4.3.2 If no pre-order discount is expressly displayed or offered, no automatic 10% discount applies.


4.4 Price After Pre-Order Period

4.4.1 PrepPro may change the ordinary retail price of a Product for future Orders once:

  • the pre-order period ends;
  • stock becomes available for immediate dispatch;
  • supplier pricing changes;
  • market conditions change; or
  • PrepPro otherwise changes its future selling price.

4.4.2 A later price change will not retrospectively alter the agreed Product price of an accepted pre-order.


5. Estimated Pre-Order Timeframes

5.1 General Lead Time

5.1.1 Unless a different timeframe is stated for a particular Product, PrepPro pre-orders may commonly require approximately six weeks or longer before the Product becomes available for dispatch.

5.1.2 The actual timeframe depends on the particular Product, supplier, manufacturing arrangements and logistics involved.


5.2 Product-Specific Estimates

5.2.1 Where a Product page, quotation, Order confirmation or other applicable communication provides a more specific estimated availability or dispatch timeframe, that estimate should be used in preference to the general indication in clause 5.1.


5.3 Estimates Rather Than Guarantees

5.3.1 Unless expressly described by PrepPro as guaranteed, a pre-order:

  • arrival date;
  • availability date;
  • stock date; or
  • dispatch date

is an estimate rather than a guaranteed date.


5.4 Factors Affecting Estimates

5.4.1 Estimated pre-order timeframes may be affected by:

  • manufacturing delays;
  • production scheduling;
  • supplier delays;
  • material shortages;
  • international freight;
  • domestic freight;
  • port congestion;
  • customs processing;
  • quarantine or biosecurity inspection;
  • regulatory processing;
  • weather;
  • natural disasters;
  • industrial action;
  • border disruptions;
  • carrier delays;
  • global supply-chain disruption; or
  • other circumstances affecting manufacture or supply.

6. The Pre-Order Timeline

6.1 Availability Stage

6.1.1 The pre-order period runs from acceptance of the pre-order until the Product becomes available for fulfilment.


6.2 Dispatch Stage

6.2.1 Once the Product becomes available for fulfilment, PrepPro will process the Order for dispatch.

6.2.2 Any ordinary dispatch target stated in PrepPro's Shipping & Delivery Policy begins only once the relevant Product is available for fulfilment and all other applicable dispatch requirements have been satisfied.


6.3 Delivery Stage

6.3.1 Once the Product has been dispatched, transportation, tracking and delivery are governed primarily by PrepPro's Shipping & Delivery Policy.

6.3.2 The pre-order lead time and carrier delivery time are separate periods.


7. 24-Hour Pre-Order Cancellation Benefit

7.1 Guaranteed Cancellation Window

7.1.1 PrepPro voluntarily provides customers with a 24-hour cancellation window from the time a pre-order is placed.

7.1.2 During this 24-hour period, the customer may request cancellation of the pre-order for change-of-mind reasons.


7.2 Refund Within the Window

7.2.1 Where a valid cancellation request is received within the 24-hour cancellation period, PrepPro will cancel the affected pre-order and refund amounts paid for the cancelled Product.

7.2.2 The refund will be processed using an appropriate payment method, ordinarily the original payment method where reasonably practicable.


7.3 Nature of the 24-Hour Benefit

7.3.1 The 24-hour cancellation period is a voluntary contractual benefit provided by PrepPro.

7.3.2 It does not replace, shorten or limit any separate right to cancel or obtain a remedy that may arise under applicable law.


8. Cancellation After 24 Hours

8.1 No Guaranteed Change-of-Mind Cancellation

8.1.1 After the 24-hour cancellation period has expired, a customer does not have a guaranteed right under this Policy to cancel a pre-order merely because they:

  • change their mind;
  • no longer want the Product;
  • no longer require the Product;
  • find the Product cheaper elsewhere;
  • order an incorrect quantity;
  • experience a change in personal circumstances; or
  • decide they no longer wish to wait.

8.2 Cancellation Requests

8.2.1 Customers may nevertheless contact PrepPro to request cancellation.

8.2.2 PrepPro may consider matters including whether:

  • procurement has commenced;
  • a supplier Order has been placed;
  • a manufacturer commitment has been made;
  • stock has been specifically allocated;
  • manufacturing has commenced;
  • international freight has been committed;
  • non-recoverable costs have been incurred; or
  • another material fulfilment commitment has been made.

8.3 Before Material Commitment

8.3.1 Where PrepPro has not materially committed to fulfilling the pre-order, PrepPro may agree to a customer-requested cancellation.

8.3.2 Any approved cancellation will be confirmed by PrepPro.


8.4 After Material Commitment

8.4.1 Where PrepPro has materially committed resources or incurred obligations in reliance on the confirmed pre-order, PrepPro may decline a change-of-mind cancellation where permitted by law.

8.4.2 If PrepPro voluntarily agrees to cancellation after material commitment, any conditions applying to that cancellation will:

  • be communicated to the customer;
  • operate only to the extent permitted by law; and
  • not constitute an unlawful penalty.

8.5 Statutory Rights

8.5.1 Nothing in this section limits a cancellation, refund or other remedy available independently under applicable law.


9. Changes to a Pre-Order

9.1 First 24 Hours

9.1.1 Customers requiring a change to:

  • Product;
  • size;
  • colour;
  • variant;
  • quantity; or
  • other Order details

should contact PrepPro as soon as possible and preferably within the first 24 hours.


9.2 Changes After 24 Hours

9.2.1 After the first 24 hours, changes are not guaranteed.

9.2.2 PrepPro may consider a requested change where it can reasonably be accommodated without materially affecting:

  • procurement;
  • stock allocation;
  • supplier commitments;
  • manufacturing;
  • pricing;
  • freight; or
  • fulfilment.

9.3 Address Changes

9.3.1 Delivery-address changes are governed additionally by PrepPro's Shipping & Delivery Policy.

9.3.2 Customers should notify PrepPro of an address change as early as possible before dispatch.


10. Manufacturing, Supplier & Logistics Delays

10.1 Delays May Occur

10.1.1 Because pre-orders involve Products that are not available for immediate ordinary dispatch, delays may occur between the date of Order and the eventual availability of the Product.


10.2 Matters Outside PrepPro's Reasonable Control

10.2.1 Delays may result from circumstances outside PrepPro's reasonable control, including:

  • manufacturer delays;
  • supplier delays;
  • freight disruption;
  • port congestion;
  • customs;
  • quarantine;
  • natural disasters;
  • severe weather;
  • industrial action;
  • government action;
  • regulatory intervention;
  • infrastructure disruption; or
  • major supply-chain disruption.

10.3 Effect of a Delay

10.3.1 A delay beyond an original estimate does not automatically mean PrepPro has breached the Order or that a refund is automatically required.

10.3.2 The circumstances will be considered having regard to:

  • the timeframe originally represented;
  • whether the date was an estimate or guarantee;
  • the duration of the delay;
  • the cause of the delay;
  • communications provided to the customer;
  • the nature of the Product;
  • any Order-specific terms; and
  • applicable law.

11. Significant Pre-Order Delays

11.1 Customer Updates

11.1.1 Where PrepPro becomes aware of a material change to an estimated pre-order timeframe, PrepPro will take reasonable steps to provide an update where appropriate.


11.2 Available Options

11.2.1 Depending on the circumstances of a significant delay, PrepPro may:

  • provide a revised estimate;
  • allow the customer to continue waiting;
  • offer an alternative Product with the customer's agreement;
  • approve cancellation;
  • provide a refund where required by law; or
  • provide another appropriate solution.

11.3 Statutory Rights

11.3.1 Nothing in this Policy prevents a customer from exercising rights that arise where PrepPro fails to supply a Product within a timeframe required by applicable law or the relevant contract.


12. Inability to Supply

12.1 Product Cannot Be Supplied

12.1.1 If PrepPro determines that it cannot supply a pre-ordered Product, PrepPro will notify the customer as soon as reasonably practicable after becoming aware of that position.


12.2 Remedy

12.2.1 Where PrepPro cannot supply a Product for which payment has been accepted, the customer will be provided with an appropriate remedy in accordance with applicable law.

12.2.2 Where required, this will include cancellation of the affected Product and refund of the applicable amount paid.


12.3 Payment & Intention to Supply

12.3.1 PrepPro will not knowingly accept payment for a pre-order where, at the time payment is accepted, PrepPro:

  • does not intend to supply the Product;
  • intends to supply a materially different Product without agreement; or
  • knows or reasonably should know that it will not be able to supply the Product within the represented or otherwise applicable timeframe.

13. Shipping & Fulfilment

13.1 Shipping Policy Applies

13.1.1 Once a pre-order Product becomes available for fulfilment, shipping and delivery are governed by PrepPro's Shipping & Delivery Policy.


13.2 Shipping Charges

13.2.1 Applicable shipping charges will be:

  • displayed at checkout;
  • included in an applicable quotation; or
  • otherwise disclosed or agreed before the customer becomes bound to pay them.

13.3 Additional Charges

13.3.1 PrepPro will not impose an additional split-shipping charge after accepting an Order unless:

  • the charge was disclosed before purchase;
  • the customer subsequently requests an additional delivery service;
  • the customer agrees to a different shipping arrangement; or
  • the additional amount is otherwise lawfully payable and agreed.

14. Mixed Orders & Split Shipments

14.1 In-Stock & Pre-Order Products

14.1.1 Where a single Order contains both in-stock and pre-order Products, PrepPro may:

  • dispatch available in-stock Products first;
  • dispatch pre-order Products separately when they become available; or
  • hold Products for combined dispatch where reasonably appropriate.

14.2 Factors Affecting Fulfilment

14.2.1 PrepPro may consider:

  • Order size;
  • Product availability;
  • freight efficiency;
  • destination;
  • customer instructions;
  • supplier-direct fulfilment; and
  • operational requirements

when determining the appropriate shipment arrangement.


14.3 Separate Delivery Dates

14.3.1 Where an Order is split, individual Products or consignments may arrive at different times.


15. Extended-Delay Goodwill Gift Card

15.1 Goodwill Program

15.1.1 To acknowledge extended waiting periods, PrepPro offers an additional goodwill benefit for qualifying ordinary retail pre-orders.

15.1.2 Where:

  • dispatch of an eligible pre-order Product has not occurred within six weeks from the date the qualifying pre-order was placed; and
  • the eligible pre-order Product value exceeds $149.95 AUD, excluding shipping charges and gift cards,

PrepPro will provide a $25 PrepPro Australia digital gift card, subject to this section.


15.2 One Gift Card Per Eligible Order

15.2.1 A maximum of one $25 goodwill gift card per qualifying Order applies under this program.

15.2.2 The amount does not increase according to:

  • the number of Products in the Order;
  • the length of the delay beyond six weeks; or
  • the total Order value.

15.3 Ordinary Retail Pre-Orders

15.3.1 Unless expressly agreed otherwise, the goodwill program applies to ordinary retail pre-orders and does not automatically apply to:

  • individually negotiated commercial Orders;
  • wholesale Orders;
  • humanitarian supply Orders;
  • specially manufactured Orders;
  • customised Orders; or
  • other Orders subject to separately negotiated terms.

15.4 Gift Card Conditions

15.4.1 The goodwill gift card:

  • is provided as an additional customer-service benefit;
  • does not reduce the amount paid for the original pre-order;
  • is not redeemable for cash except where required by law;
  • is subject to applicable PrepPro gift-card terms;
  • may be subject to a lawful expiry date or other lawful use conditions stated when issued; and
  • does not replace any refund, cancellation or other right available under applicable law.

15.5 No Admission

15.5.1 Provision of the gift card:

  • does not constitute an admission that PrepPro has breached the Order;
  • does not mean the original estimate was a guaranteed dispatch date;
  • does not waive either party's rights; and
  • does not require the customer to surrender any applicable statutory remedy.

15.6 No Guaranteed Six-Week Delivery

15.6.1 The goodwill program does not convert the six-week period into a guaranteed delivery or dispatch date.


16. Product Variations

16.1 Minor Variations

16.1.1 Minor variations may occur between the Product initially displayed and the final supplied Product because of:

  • manufacturing batches;
  • packaging updates;
  • colour tolerances;
  • branding updates;
  • supplier revisions; or
  • minor production changes.

16.2 Material Product Characteristics

16.2.1 PrepPro will not rely on clause 16.1 to knowingly supply a Product that materially differs from the Product ordered in relation to an essential:

  • function;
  • specification;
  • safety characteristic;
  • performance characteristic; or
  • description

without obtaining agreement where required.


16.3 Consumer Guarantees

16.2.2 A minor variation does not of itself determine whether a Product complies with applicable consumer guarantees.

16.2.3 Any issue will be assessed according to the actual nature and significance of the variation and applicable law.


17. Faulty, Damaged, Incorrect or Misdescribed Pre-Order Products

17.1 Pre-Order Status Does Not Remove Consumer Rights

17.1.1 Once supplied, a Product does not lose applicable consumer guarantees merely because it was purchased as a pre-order.


17.2 Returns & Remedies

17.2.1 Claims concerning a pre-ordered Product that is:

  • faulty;
  • defective;
  • damaged;
  • incorrectly supplied;
  • materially misdescribed; or
  • otherwise subject to an applicable remedy

will be dealt with under PrepPro's Returns, Refunds & Exchanges Policy and applicable law.


18. Change of Mind After Delivery

18.1 No Automatic Change-of-Mind Return

18.1.1 The fact that a Product was purchased by pre-order does not create an additional right to return it after delivery merely because the customer changes their mind.

18.1.2 Change-of-mind returns are governed by PrepPro's Returns, Refunds & Exchanges Policy.


18.2 Statutory Rights

18.2.1 Nothing in clause 18.1 affects a statutory or contractual remedy available for another reason.


19. Bulk, Commercial, Wholesale & Humanitarian Pre-Orders

19.1 Large or Specially Procured Orders

19.1.1 Bulk, commercial, wholesale, humanitarian or specially procured pre-orders may involve substantial commitments, including:

  • supplier deposits;
  • minimum order quantities;
  • manufacturing commitments;
  • stock reservation;
  • palletisation;
  • international freight;
  • customs arrangements;
  • specialised packaging;
  • documentation; and
  • other logistics expenditure.

19.2 Order-Specific Terms

19.2.1 Such Orders may be subject to additional or different terms contained in:

  • a quotation;
  • purchase agreement;
  • supply agreement;
  • invoice;
  • procurement document; or
  • other written agreement.

19.2.2 Where a separately negotiated written term validly applies to a particular Order, it will prevail over this general Policy to the extent of any inconsistency, subject to applicable law.


19.3 Cancellation

19.3.1 Once PrepPro has made material commitments in reliance on a bulk, commercial, wholesale or humanitarian pre-order, change-of-mind cancellation may not be available.

19.3.2 Nothing in this clause excludes a right or remedy that cannot lawfully be excluded.


20. Events Outside Reasonable Control

20.1 Relevant Events

20.1.1 PrepPro's ability to fulfil a pre-order may be affected by events genuinely outside its reasonable control, including:

  • natural disasters;
  • bushfires;
  • floods;
  • severe weather;
  • war;
  • civil disturbance;
  • government action;
  • border closures;
  • significant customs disruption;
  • infrastructure failure;
  • major cyber incidents;
  • industrial action;
  • major carrier disruption; or
  • substantial supply-chain failure.

20.2 Effect

20.2.1 PrepPro will take reasonable steps to manage the effect of such events on affected Orders.

20.2.2 An event outside PrepPro's reasonable control may affect an estimated timeframe but does not remove a customer right or remedy that applies despite that event.


21. Relationship with Other PrepPro Policies

21.1 Purchase Options Policy

21.1.1 PrepPro's Purchase Options, Subscriptions, Pre-Orders & Cancellation Policy provides the general framework applying to PrepPro purchase arrangements.

21.1.2 This Pre-Order Policy provides the additional specific terms applying to designated PrepPro pre-orders.


21.2 Shipping & Delivery Policy

21.2.1 This Policy primarily governs the period before a pre-order Product becomes available for dispatch.

21.2.2 PrepPro's Shipping & Delivery Policy primarily governs transportation and delivery after dispatch.


21.3 Returns, Refunds & Exchanges Policy

21.3.1 PrepPro's Returns, Refunds & Exchanges Policy governs Product-return and remedy issues including:

  • faults;
  • defects;
  • damage;
  • incorrect supply;
  • change-of-mind returns;
  • inspections;
  • assessments; and
  • return freight.

22. Policy Updates

22.1 Future Updates

22.1.1 PrepPro may update this Policy from time to time to reflect changes to:

  • pre-order arrangements;
  • Products;
  • suppliers;
  • fulfilment practices;
  • customer programs;
  • applicable law; or
  • business operations.

22.2 Existing Pre-Orders

22.2.1 The version of this Policy incorporated into an accepted pre-order will continue to apply to that pre-order unless:

  • the parties agree otherwise;
  • a later change benefits the customer and PrepPro elects to apply it; or
  • applicable law requires another outcome.

22.2.2 PrepPro will not retrospectively amend an accepted pre-order in a manner that unlawfully disadvantages the customer.


23. Australian Consumer Law Priority

23.1 Our goods come with guarantees that cannot be excluded under the Australian Consumer Law.

23.2 Nothing in this Policy, including any provision concerning:

  • the 24-hour cancellation window;
  • change-of-mind cancellation;
  • estimated pre-order timeframes;
  • supplier delays;
  • manufacturing delays;
  • Product variations;
  • shipping;
  • goodwill gift cards; or
  • inability to supply

is intended to exclude, restrict or modify any consumer guarantee, statutory right, remedy or liability that cannot lawfully be excluded, restricted or modified.

23.3 Where anything in this Policy is inconsistent with such a statutory right, that statutory right prevails to the extent of the inconsistency.

23.4 PrepPro's pre-order rules operate alongside applicable statutory rights and not in substitution for them.
